Terms and Conditions
A clear agreement between you and Betasky Health. We've written these in plain English so you understand what you're agreeing to — and what we commit to in return.
The short version: By using Betasky, you agree to use it lawfully and responsibly. We agree to provide a reliable, secure platform and treat your data with the care it deserves. Both sides have rights and obligations — this document defines them fairly.
These Terms and Conditions ("Terms") form a legally binding agreement between you and Betasky Health, Inc. ("Betasky," "we," "us," or "our") when you visit our website, create an account, or use any part of our platform or related services.
If you are accepting these Terms on behalf of a company or organization, you represent that you have full authority to bind that entity. References to "you" or "your" include both individuals and the organizations they represent.
What Betasky Provides
Betasky is a cloud-based software platform designed specifically for home health agencies. Our core capabilities include:
- Patient intake, scheduling, and visit management
- Clinical documentation including OASIS assessments and visit notes
- Billing, claims submission, and payer integration
- Compliance tracking and audit trail management
- Caregiver and HR management tools
- Reporting, analytics, and operational dashboards
- Mobile application for field caregivers
The specific features, modules, and usage limits included in your access are defined in your subscription plan, order form, or signed services agreement. These Terms apply to all of them.
Eligibility and Account Responsibility
To use Betasky you must be at least 18 years old and have the legal authority to enter into this agreement. If you are setting up an account for your organization, you confirm that you are authorized to do so.
You are responsible for:
- Keeping your credentials secure. Do not share your username or password. Use a strong, unique password and enable multi-factor authentication when available.
- All activity under your account. If someone else uses your credentials — authorized or not — you are responsible for that activity.
- Managing your team's access. Agency administrators must promptly disable accounts when staff leave or change roles.
If you suspect your account has been compromised, contact us immediately at security@betaskyhealth.com. We can lock the account and help you recover access safely.
Acceptable Use
Betasky is built for legitimate home health operations. You agree to use it responsibly and in full compliance with applicable law. You must not:
- Violate HIPAA, state healthcare privacy laws, or any applicable federal or state regulation.
- Access, view, modify, or export data you are not authorized to handle under your role and your organization's permissions.
- Attempt to reverse engineer, decompile, or extract the source code or underlying algorithms of the platform.
- Use the platform to transmit malware, ransomware, or any code designed to damage, disrupt, or gain unauthorized access to systems.
- Conduct automated scraping, load testing, or bulk data extraction without prior written approval from Betasky.
- Misrepresent your identity, agency affiliation, or clinical credentials within the platform.
- Resell, sublicense, or white-label the platform without a separate written reseller or partner agreement.
Violations of acceptable use may result in immediate suspension or termination of your account without refund, and may be reported to relevant regulatory authorities where required by law.
Your Data — Ownership and Our Role
Everything your organization enters into Betasky — patient records, visit documentation, billing data, staff information, and configurations — belongs to your organization. You own it. We are the secure platform that stores and processes it on your behalf.
Your data is yours. We will never use it for our own commercial purposes, sell it, or share it with third parties except as required to deliver the service or as described in our Privacy Policy and your BAA.
Your responsibilities as a Customer include:
- Obtaining all necessary patient consents and authorizations for data processing under HIPAA and applicable state law.
- Ensuring accuracy of the clinical, billing, and administrative records entered into the platform.
- Configuring role-based access permissions to reflect your organization's privacy and security policies.
- Notifying Betasky if you become aware of a data breach or unauthorized access involving the platform.
Subscriptions, Billing, and Payment
Access to Betasky is provided on a subscription basis. Here is how billing works:
- Fees: Your subscription fee is agreed at time of sign-up or contract execution. Pricing is based on factors such as agency size, modules selected, and contract term.
- Billing cycle: Invoices are issued monthly or annually depending on your plan. Payment is due on the date stated in the invoice.
- Late payment: Accounts with overdue balances beyond 14 days may be suspended after written notice. Service will be restored promptly upon payment.
- Refunds: Fees already paid are generally non-refundable except where required by law, or as expressly agreed in your contract (for example, if we fail to meet agreed service levels).
- Plan changes: Upgrades take effect immediately. Downgrades take effect at the start of the next billing cycle. Contact your account representative to discuss changes.
Free Trials and Sandbox Access
We may offer trial or sandbox access at our discretion to help you evaluate the platform before committing to a full subscription. A few important points:
- Trial access is provided "as is" with no SLA, and may be limited in features or duration.
- Data entered during a trial may be deleted when the trial period ends unless you convert to a paid plan and request data migration.
- Sandbox environments must be used for testing only — never for actual patient care or clinical operations.
- All Terms in this document apply to trial and sandbox use unless otherwise stated.
Intellectual Property
Betasky Health and its licensors own all intellectual property rights in and to the platform — including the software, interface design, documentation, trademarks, brand elements, and underlying technology.
By agreeing to these Terms, you receive a limited, non-exclusive, non-transferable license to access and use the platform for your organization's internal home health operations during your active subscription period. This license does not give you any ownership rights.
You may not copy, modify, distribute, or create derivative works from any part of the Betasky platform without our prior written consent. The Betasky name, logo, and product names are registered or common-law trademarks and may not be used without permission.
Confidentiality
In the course of our relationship, both parties may share sensitive business information. We both agree to:
- Keep confidential information private and not disclose it to third parties without prior written consent.
- Use confidential information only as needed to perform under these Terms and your service agreement.
- Protect confidential information with at least the same care used for our own confidential information, and no less than reasonable care.
Confidential information does not include information that is independently developed, already publicly available, or required to be disclosed by law — provided the disclosing party gives prompt notice where legally permitted.
Service Availability and Support
We are committed to keeping Betasky reliable and available when your agency needs it. In practice, this means:
- Uptime: We target 99.9% monthly uptime for the core platform. Scheduled maintenance windows are communicated in advance.
- Updates: We continuously improve the platform. Feature updates and bug fixes are deployed regularly, generally without requiring action from you.
- Support: Support is available via the in-platform help center, email, and phone depending on your plan. Response times and escalation paths are defined in your subscription or support agreement.
- Incidents: In the event of a significant outage, we will communicate status updates promptly and provide a post-incident summary for material disruptions.
Disclaimers — What We Do Not Guarantee
We build and maintain Betasky with care and professionalism, but we need to be clear about the limits of what we guarantee:
- The platform is provided "as is" and "as available." While we work hard to keep it bug-free, we cannot guarantee it will always be error-free or uninterrupted.
- Betasky is not a clinical decision-making tool. It documents and manages workflow — the clinical and compliance judgments remain entirely with your licensed staff.
- Betasky is not a billing guarantor. We provide billing tools and payer integrations, but we do not guarantee claim acceptance, reimbursement rates, or payer behavior.
- We disclaim all implied warranties, including fitness for a particular purpose, merchantability, and non-infringement, to the maximum extent permitted by applicable law.
Limitation of Liability
Both parties understand that software platforms involve inherent risks, and we have priced the service accordingly. To the fullest extent permitted by law:
- Betasky is not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, lost data, or business interruption — even if we were advised of the possibility of such damages.
- Our total cumulative liability for any claims arising from or related to these Terms or the services will not exceed the total fees you paid to Betasky in the 12 months immediately before the event giving rise to the claim.
These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and reflect a fair allocation of risk between the parties. Where applicable law does not allow these limitations, they apply to the maximum extent permitted.
Indemnification
You agree to defend, indemnify, and hold Betasky — and its officers, directors, employees, and contractors — harmless from any third-party claims, losses, or expenses (including reasonable legal fees) arising from:
- Your violation of these Terms or any applicable law or regulation.
- Your misuse of the platform in a way that harms a third party.
- Inaccurate clinical or billing data entered into the platform by your staff.
- Your failure to comply with HIPAA or other healthcare-specific obligations that are your responsibility.
This obligation does not apply to claims caused by Betasky's own gross negligence or intentional misconduct.
Term and Termination
These Terms are in effect from the moment you first access Betasky and continue until your subscription ends or is terminated.
- You may terminate by providing written notice according to your subscription agreement. Prepaid fees are generally non-refundable for the current billing period.
- We may suspend or terminate your account for material breach (such as non-payment or acceptable-use violations) after providing reasonable notice and an opportunity to cure where appropriate.
- On termination: Your access to the platform ends. We will provide a data export window as defined in your agreement, after which data may be deleted from our systems in accordance with our data retention policy and your BAA.
Sections covering intellectual property, confidentiality, limitation of liability, indemnification, and governing law survive termination.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles, except where mandatory local law in your jurisdiction requires otherwise.
Before initiating any formal proceedings, both parties agree to attempt to resolve disputes in good faith through direct communication for at least 30 days. If a dispute cannot be resolved informally, it will be handled as specified in your master subscription or services agreement. Absent such agreement, disputes will be submitted to binding arbitration in Texas under the rules of the American Arbitration Association, except for claims that qualify for small claims court.
Changes to These Terms
We may update these Terms as our business evolves or as law requires. Here is how we will handle that:
- We will post the revised Terms on this page with an updated "Last updated" date.
- For material changes — those that meaningfully affect your rights or obligations — we will provide at least 30 days' advance notice via email or in-platform notification.
- For minor, non-material updates (such as typo corrections or formatting), we will update the page without separate notification.
- Your continued use of Betasky after changes take effect constitutes acceptance of the updated Terms. If you do not agree to material changes, you may terminate your subscription before they take effect.
